Terms of Service

1. Introduction and Definitions

These Terms of Service constitute a binding agreement between dentisti.pro and each clinic, practitioner, or authorized healthcare entity using the platform.

By registering, accessing, or continuing to use the platform, you confirm that you have read, understood, and accepted these Terms together with the Privacy Policy and Data Processing Agreement.

2. Account Registration and Eligibility

You must be a licensed dental professional, a legally established clinic, or an authorized representative with authority to bind the clinic.

By opening an account, you represent and warrant that:

• all registration and billing information you provide is accurate and kept up to date
• you hold all necessary licenses, permits, and legal authorizations required in your jurisdiction
• you are responsible for the confidentiality of credentials and the activity of all users under your clinic account
• you will promptly revoke access for staff who no longer require platform access

3. Platform Use and Acceptable Conduct

dentisti.pro is a dental practice management platform that may include patient records, scheduling, billing, communications, analytics, and operational workflow tools.

You agree not to:

• use the platform for unlawful purposes or in breach of healthcare, privacy, or professional regulations
• attempt unauthorized access to the platform, other customer environments, or supporting infrastructure
• upload malicious code, security exploits, or data you are not legally entitled to process
• use the platform to send communications without a lawful basis or required patient consent

The platform is an operational tool and not a medical device. Clinical decisions remain the sole responsibility of licensed professionals.

4. Data Protection and Compliance

For patient data, the clinic acts as Data Controller and dentisti.pro acts as Data Processor under GDPR, subject to the Data Processing Agreement.

As Data Controller, the clinic must:

• ensure a lawful basis for processing patient and staff data
• inform data subjects of relevant rights and privacy notices
• maintain accurate records and respond to rights requests in a timely way
• notify us without undue delay where our assistance is required for breach handling or rights fulfillment

As Data Processor, we commit to:

process data only on documented instructions, apply appropriate technical and organizational measures, and support the clinic in meeting lawful compliance duties.

5. Fees, Billing, and Payment

Access to the platform is provided on a subscription basis. Fees are charged in advance for the selected billing period unless a written agreement states otherwise.

If payment fails or remains overdue:

• we may retry collection through the configured payment provider
• we may restrict features or place the clinic account into limited-access status
• we may suspend or terminate service if the account remains materially overdue

Unless local law or a separate written agreement provides otherwise, subscriptions are generally non-refundable once the active service period has begun.

6. Intellectual Property

All platform software, designs, workflows, trademarks, and supporting materials remain the intellectual property of dentisti.pro.

The clinic retains rights in its branding, patient records, uploaded documents, and other customer content, while granting us the limited rights necessary to host, secure, transmit, and operate the service.

7. Suspension and Termination

You may cancel at the end of the active subscription period through the available billing controls or by contacting support, subject to any live billing commitments already incurred.

We may suspend or terminate access if you:

• materially breach these Terms or applicable law
• create security, abuse, fraud, or compliance risk for the platform or other clinics
• remain in serious payment default

Upon termination, export, retention, deletion, and backup handling remain subject to applicable law, the Data Processing Agreement, and documented retention requirements.

8. Warranties and Limitation of Liability

We aim to provide the platform with reasonable care and operational continuity, but except where the law requires otherwise, the service is provided on an as-available basis.

To the maximum extent permitted by law:

• we are not responsible for indirect, incidental, special, or consequential losses
• we are not responsible for clinical outcomes, treatment decisions, or patient harm arising from professional use of the platform
• our aggregate liability is limited to the fees paid for the applicable recent service period relevant to the claim
• we are not liable for failures caused by force majeure, internet outages, or third-party service disruption outside our reasonable control

9. General Provisions

These Terms are governed by the laws specified in the applicable contracting entity and interpreted without prejudice to mandatory consumer or healthcare rules where they apply.

If any provision is found unenforceable, the remaining provisions continue in effect. We may update these Terms from time to time and will publish material changes in advance when required.
